1 Name and Domicile

The name of the association is Women in Procurement Finland ry and its domicile is Tampere.

2 Purpose and Nature of Activities

The purpose of the association is to promote professional development, networking, and visibility in the field of procurement and related areas in Finland. The association especially supports women and individuals who seek to advance the position of women in these fields.

The association is non-profit and does not aim to generate profit.

To fulfill its purpose, the association may:

3 Members

The association may have the following types of members:

Members are approved by the board. Membership ends upon resignation, expulsion, or death.

The association may charge a membership fee, the amount of which is decided at the annual meeting.

4 Board

The association has a board consisting of a chairperson and at least two (2) other regular members. Deputy members may also be elected.

The board is elected at the annual meeting for the duration of the association’s term. The board cannot appoint new members itself; new members are elected at the association’s meeting.

The board convenes at the invitation of the chairperson and is quorate when at least half of the members are present. Decisions are made by a simple majority vote.

5 Meetings

The association holds an annual meeting between August 1st and September 15th.

An extraordinary meeting may be held at the invitation of the board or if at least 1/10 of the members request it in writing.

The meeting addresses, among other things:

6 Term

The association’s term is from October 1st to September 30th.

7 Finances and Fundraising

The association may accept grants, donations, and sponsorships, organize paid events, and engage in fundraising within the limits of the rules and law.

Funds are used to fulfill the association’s purpose. Distribution of funds to members is not allowed.

8 Amendments to the Rules

Amendments to the rules are decided at the association’s meeting. Changes are approved if at least 2/3 of the votes support the amendment.

9 Dissolution

Dissolution of the association is decided at the association’s meeting in the same manner as rule amendments.

Upon dissolution, the association’s assets are used to promote its purpose as decided by the meeting that approved the dissolution.
